Position Objective

Reporting to the VP & General Counsel, the Corporate Counsel l will be primarily responsible for assisting the Corporate Counsel and Compliance Manager in the management, maintenance and continuing development of Konica Minolta s compliance and ethics program and the development, management and implementation of various corporate compliance initiatives. The Corporate Counsel will also prepare, review and negotiate various commercial agreements, handle various legal matters ranging from routine contract review to those of high exposure and complexity. The Corporate Counsel may also be required to assist with mergers and acquisitions, litigation management and employment law matters.

Essential Job Functions

Provide legal advice to relevant Konica Minolta personnel and departments including, but not limited to:

  • Preparation and review of commercial sales and service contracts
  • Pre-litigation research and settlement negotiations
  • Preparation, review and completion of real estate contracts
  • Participate in a variety of complex legal matters
  • Provide legal analysis and counseling on ethics and legal issues/topics, internal policies and other legal matters such as:
    • Anti-Corruption policies (global and local)
    • Gift policy Policy review and draft of communication sent to employees
    • Antitrust policies
    • Employee Handbook Review and analysis. Discuss revisions and propose language.
    • Information Security issues
  • Conduct compliance risk assessments in conjunction with other compliance related functions (i.e. Sales and Marketing)
  • Conduct annual compliance self-audit of all risk areas.
  • Assist with revisions, issuance and dissemination of Code of Conduct and compliance and ethics policies
  • Deliver Code of Conduct and other relevant policy training and education tools for business units
  • Conduct compliance and ethics investigations, including conducting email searches, document review and interviews, and drafting reports regarding potential violations of company policies
  • Prepare periodic reports regarding compliance and ethics matters for management
  • Advise business units on legal compliance
  • Assist with the implementation of compliance and ethics auditing and monitoring programs, such as sales and advertising protocols

  • Ability to manage multiple projects simultaneously in a deadline driven environment
  • Prior experience interacting with various departments within an organization, i.e., Sales, Human Resources, Marketing, etc. preferred
  • Prior experience with ethics and compliance programs and acquisitions preferred
  • Must be willing and able to travel, as needed.
  • Fluency in Spanish a plus.

Experience, Educational Reqts and Certifications

  • Law Degree required (Member of New Jersey Bar)
  • 2 - 5 years of experience

Estimated Salary: $20 to $28 per hour based on qualifications.

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
